View all legal documentsWelcome to Skydeca, LLC. These Terms of Service govern your access to and use of our website, platform, and services, including TagDive and related features. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.
Skydeca provides a platform for uploading, tagging, transcribing, and searching long-form media with the help of AI. Our Services enable users to organize moments, map themes, and build searchable content libraries.
We may offer beta features, experimental tools, or preview releases that are subject to additional terms. Beta features are provided "as is" and may be modified or discontinued without notice.
If you do not agree to these Terms, you may not access or use our Services.
To use our Services, you must be at least 13 years of age. If you are between 13 and 18 years old, you must have permission from a parent or legal guardian who agrees to be bound by these Terms on your behalf.
When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Notify us immediately at support@skydeca.com if you suspect unauthorized access to your account.
Certain features require a paid subscription. Subscription fees are disclosed at the time of purchase. By subscribing through our payment processor, Stripe, you authorize us to charge recurring fees to your payment method until you cancel.
Subscriptions renew automatically at the end of each billing period (monthly or annually) unless canceled.
You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing cycle.
Fees are generally non-refundable except where required by applicable law.
We will provide at least 14 days' notice before any price increases take effect.
You retain full ownership of any content you upload to Skydeca. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to store, process, display, and distribute your content solely for the purpose of providing the Services.
Skydeca and its licensors own all rights, title, and interest in the platform, software, database structures, tagging architecture, user interface designs, and proprietary algorithms. These are protected by United States and international intellectual property laws.
You may not reverse engineer, decompile, disassemble, or attempt to derive source code from any part of our Services. Creating derivative works based on our platform without written permission is prohibited.
You retain full ownership of all content you upload to Skydeca. Uploading content to our platform does not transfer any ownership rights to us.
Our platform uses AI to extract insights from your content, including but not limited to tags, chapters, summaries, topic maps, and people recognition. These AI-generated insights are provided as a service and are licensed to you for your personal and commercial use in connection with your content.
Skydeca does not claim ownership of AI-generated insights derived from your content. These insights are produced to enhance your experience and remain associated with your account and your content.
You agree to use our Services only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
Violations of our Content Policy may result in content removal, account suspension, or permanent termination.
We implement commercially reasonable technical and organizational safeguards to protect your data. We do not sell, rent, or trade your personal information to third parties. For complete details, please review our Privacy Policy.
The Service may integrate with or provide access to third-party services, including but not limited to YouTube, Vimeo, and Pexels. These integrations are provided for your convenience and to enhance the functionality of our platform.
Your use of any third-party integrations is subject to the respective third-party's terms of service and privacy policies. We encourage you to review those terms before using any integrated services.
Skydeca is not responsible for the availability, accuracy, content, or policies of any third-party services. We do not endorse and are not liable for any harm or loss arising from your use of third-party integrations accessed through our platform.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SKYDECA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL SKYDECA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Skydeca, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or violation of any third-party rights.
You may cancel your account at any time. Upon termination, you may request a copy of your data within 30 days.
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Pensacola, Florida.
We will provide at least 14 days' notice for material changes by posting updated Terms on our website.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
These Terms, together with the Privacy Policy and any other legal notices published by Skydeca, constitute the entire agreement between you and Skydeca concerning the Service.
CLASS ACTION WAIVER
You agree that any claims will be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
