1. Service Description

Welcome to Skydeca, LLC ("Skydeca," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and services, including TagDive and related features (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Skydeca provides a cloud-based platform for uploading, tagging, transcribing, and searching long-form media through AI-assisted workflows. Our Services enable users to create timestamp-level tags, thematic maps, searchable metadata, and organized content libraries.

We may offer beta features, experimental tools, or preview releases that are subject to additional terms. Beta features are provided "as is" and may be modified or discontinued without notice.

If you do not agree to these Terms, you may not access or use our Services.

2. Eligibility & Accounts

To use our Services, you must be at least 13 years of age. If you are between 13 and 18 years old, you must have permission from a parent or legal guardian who agrees to be bound by these Terms on your behalf.

When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Notify us immediately at support@skydeca.com if you suspect unauthorized access to your account.

3. Billing & Payment

Certain features require a paid subscription. Subscription fees are disclosed at the time of purchase. By subscribing through our payment processor, Stripe, you authorize us to charge recurring fees to your payment method until you cancel.

3.1 Billing Cycle

Subscriptions renew automatically at the end of each billing period (monthly or annually) unless canceled.

3.2 Cancellation

You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing cycle.

3.3 Refunds

Fees are generally non-refundable except where required by applicable law.

3.4 Price Changes

We will provide at least 14 days' notice before any price increases take effect.

4. Intellectual Property

4.1 Your Content

You retain full ownership of any content you upload to Skydeca. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to store, process, display, and distribute your content solely for the purpose of providing the Services.

4.2 Our Intellectual Property

Skydeca and its licensors own all rights, title, and interest in the platform, software, database structures, tagging architecture, user interface designs, and proprietary algorithms. These are protected by United States and international intellectual property laws.

4.3 Restrictions

You may not reverse engineer, decompile, disassemble, or attempt to derive source code from any part of our Services. Creating derivative works based on our platform without written permission is prohibited.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

• Upload content that is illegal, defamatory, obscene, or infringes on third-party rights
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected networks
• Interfere with or disrupt the integrity or performance of our Services
• Use automated means (bots, scrapers, crawlers) to access the Services without our written consent
• Circumvent any access controls, rate limits, or security measures

Violations of our Content Policy may result in content removal, account suspension, or permanent termination.

6. Data Protection

7. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SKYDECA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL SKYDECA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Skydeca, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or violation of any third-party rights.

10. Termination

You may cancel your account at any time. Upon termination, you may request a copy of your data within 30 days. We may terminate or suspend your account immediately for violations of these Terms or for any other reason at our sole discretion.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

12. Dispute Resolution

Disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Pensacola, Florida.

12.1 Class Action Waiver

YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

13. Changes to Terms

We will provide at least 14 days' notice for material changes by posting updated Terms on our website. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
